We represent several leading providers of healthcare services and have extensive experience with facility licensing and certification, business and corporate planning, managed care contracting, antitrust and regulatory issues, residential care facilities, home health agencies, skilled nursing facilities, hospital medical staff relations, integrated delivery systems, management services organizations, organization and management of medical group practices, mergers and acquisitions of medical groups and facilities, third-party payor
reimbursement, and management agreements.

GENERAL BUSINESS & COMMERCIAL:

Our general business and commercial law practice focuses on entity formations, including corporations, limited and general partnerships and limited liability companies; mergers and acquisitions; financing transactions, including new loans, loan modifications and loan workouts; corporate compliance; stock and other entity ownership issues, transfers and redemptions; documenting employment and consulting arrangements; drafting rights of first refusal, buy-sell, close corporation and other shareholder agreements; protection of trade secrets and other proprietary information; preparing stock option and other incentive compensation plans; business liquidations and dissolutions; drafting, reviewing and analyzing a wide array of contracts; and general corporate and business counseling and planning.

REAL ESTATE:
Our real estate practice includes all facets of commercial real estate transactions, including sales, tax-deferred exchanges, real estate financings, management contracts, partnerships and joint ventures, leasing, landlord-tenant matters, eminent domain, and securing land use approvals, including zoning, subdivision maps, and development agreements. Our real estate practice also includes representation of owners, general contractors and subcontractors in the construction industry concerning both private and public projects.

LITIGATION:

Our attorneys have extensive jury trial experience and offer vast expertise in the area of litigation. The firm engages in most types of civil litigation for our clients, representing the healthcare, real estate, land development, and construction industries, including mediations, arbitrations, trials, and appeals in both state and federal courts.

EMPLOYMENT LAW:

Our attorneys advise employers in almost every aspect of employment relationship, including defending litigation claims. We routinely draft and review personnel handbooks, policies and employment agreements; as well as provide preventive training and advice.
